Public Offer

PUBLIC OFFER AGREEMENT

for the provision of Signaturum digital services
Pavlodar, Republic of Kazakhstan
Published and effective: 5 September 2026

This document constitutes a public offer of DigitalTown LLP, BIN 240340004389 (the “Service Provider”, “Administrator” or “Signaturum”), addressed to individuals, sole proprietors and legal entities (the “Customer” or “User”), and sets out the terms for entering into an agreement for Signaturum digital services. Acceptance occurs when the User performs an action specified by this Offer, including paying for an order, starting a paid subscription, or beginning to use a paid Service after placing an order where that method of acceptance is expressly shown in the interface. Acceptance means full and unconditional agreement to the version of this Offer effective when the relevant agreement is concluded. Mandatory consumer rights that cannot lawfully be waived remain fully preserved.

1. DEFINITIONS, CONTRACT DOCUMENTS AND ACCEPTANCE

1.1. Website — https://signaturum.com, including related account areas, interfaces and checkout pages.

1.2. Services — Signaturum digital functionality available through the Website and/or API, including digital deposit and timestamping, invisible content watermarking, watermark detection, API/SDK, protected storage, protected video player, PDF reader, monitoring and crawler, analytics, notifications and other functionality expressly included in the applicable tariff, order or interface.

1.3. Content — images, video, documents, audio, archives, metadata, identifiers and other digital data submitted by the User.

1.4. Result — a protected file, technical report, detection result, registry/blockchain record, certificate, API response, link, log, monitoring report or another output of a particular Service.

1.5. Tariff/Plan — the set of commercial and technical parameters disclosed before purchase, including price, currency, billing period, limits, number of watermark generations/detections/API units, Storage volume, monitoring frequency, format restrictions and other characteristics.

1.6. One-time Service — a Service purchased for one action, file, operation, bundle of units or another limited volume without automatic renewal unless expressly stated before purchase.

1.7. Subscription — recurring access to a Service with periodic billing, only where automatic renewal and billing frequency are clearly disclosed before payment confirmation.

1.8. Unit/Credit — a billing unit for consumption of a particular Service. Consumption rules are determined by the applicable tariff and technical documentation for the relevant product/endpoint.

1.9. Watermark ID / Recipient ID — a machine-readable identifier that may be embedded into Content and associated by the User with an item, distribution event, recipient or other event. The identifier itself need not contain personal data.

1.10. Digital Deposit — fixation of a digital fingerprint and related technical data with a timestamp in the selected registry, including a public distributed network where the Service so provides.

1.11. Signaturum Certificate — a system-generated informational document confirming a technical operation. Unless expressly stated otherwise, it is not a notarised instrument, government registration of rights, qualified electronic signature of a public authority or expert opinion.

1.12. Crawler/Monitoring — automated searching and checking of resources accessible to the Service Provider according to specified criteria; it does not mean complete indexing of the Internet.

1.13. This Offer, the applicable Tariff/order, User Agreement and Privacy Policy form part of the contract. A B2B customer may additionally be subject to an Order Form, invoice, SLA, DPA, NDA, technical schedule or another signed document. A specific document prevails for its subject matter in the event of conflict, unless prohibited by law.

1.14. Marketing pages, demonstrations, publications, individual benchmark results and examples do not constitute a guaranteed SLA unless the relevant commitment is expressly incorporated into the paid tariff or a written order.

1.15. The User must review the applicable terms before payment. Order data, version of this Offer, acceptance timestamp, payment event and technical performance records may be logged in the Service Provider's systems and used to evidence contract formation and performance.

1.16. A User acting for an organisation represents that they have authority to enter into the contract and procure the Services on its behalf. Consequences of acting without authority are determined by applicable law.

1.17. Terms applicable to individuals purchasing Services solely for personal, family, household or other non-business purposes are subject to mandatory consumer-protection law. Nothing in this Offer is intended as a waiver of non-waivable consumer rights.

2. SUBJECT, SCOPE AND LIMITS OF THE SERVICES

2.1. The Service Provider shall provide the digital Services selected and paid for by the User within the characteristics of the applicable Tariff/order, and the User shall accept and pay for them.

2.2. The exact scope is determined by the purchase interface and may include one or more Services. Availability of one function does not automatically include another: watermarking, detection, blockchain timestamping, Storage and Crawler are separate technical layers unless bundled by the applicable plan.

2.3. The Service Provider may use updated models, algorithms, codecs, infrastructure and third-party providers while preserving the paid functional purpose of the Service. A change in an internal model version is not by itself a defect.

2.4. Invisible watermarking is not absolute DRM and does not guarantee that copying, screen capture, re-recording, editing or watermark removal is physically impossible. Detection is algorithmic analysis and may produce positive, negative, incomplete or inconclusive results. Outcomes depend on Content, model version, transformation intensity, compression, resizing/cropping, transcoding, screenshots, screen photography, editing, generative processing and other factors.

2.5. Crawler/Monitoring does not guarantee detection of every copy or infringement. Closed, authenticated, robot-blocking, deleted, non-indexable or technically inaccessible resources may not be checked.

2.6. Hashes, timestamps, blockchain/registry records, certificates, watermark IDs, detection results, URLs, system logs and distribution history may form elements of an evidentiary chain, but do not by themselves guarantee authorship, ownership, identity of an infringer, occurrence of infringement or acceptance of any particular material by a court/platform.

2.7. The Service Provider does not provide legal, notarial, expert, patent or law-enforcement services unless a separate service is expressly contracted as such.

2.8. Features marked beta/preview/experimental may be subject to additional limits, changes or discontinuation and should not be the sole component of a critical workflow without a separate SLA.

3. PRICE, CURRENCY, PAYMENTS, SUBSCRIPTIONS AND TAXES

3.1. The price is determined on the tariff/checkout page immediately before payment. Currency may depend on region, contracting entity and payment method. Exchange rates and bank fees applied by the User's bank are outside the Service Provider's control.

3.2. Unless expressly stated otherwise, Services are prepaid. The Service Provider may use and change payment providers without amending this Offer. Full payment-card data is normally handled by the payment provider; personal-data processing is governed by the Privacy Policy.

3.3. Prices include or exclude applicable taxes as shown before payment and as required by law. B2B customers must provide accurate tax/business details where needed for invoicing or taxation.

3.4. For a Subscription, the billing period, price, automatic renewal and cancellation method are disclosed before purchase. Where auto-renewal is enabled, the User authorises recurring charges according to the disclosed terms and payment-provider rules. A Subscription may be cancelled for future periods through the available interface or support; cancellation does not normally end the already paid period unless law or the applicable plan requires otherwise.

3.5. The Service Provider may change prices for future purchases/periods. A paid one-time Service or already paid Subscription period will not be repriced retroactively. A new price for a renewing Subscription applies only to a future renewal with notice where and in the manner required by law.

3.6. Promo codes, trials, free credits and special offers may have expiry dates, limits and account/customer restrictions and have no cash value unless expressly stated or required by law.

3.7. Pricing errors, obvious checkout errors, duplicate charges or incorrect billing are subject to review. The Service Provider may cancel an unperformed order created by an obvious technical pricing error and refund the amount actually received, unless law requires otherwise.

3.8. Once a refund is initiated, the actual bank posting time depends on the payment provider and the User's bank. The Service Provider is responsible for timely initiation of a due refund, not for independent interbank posting times.

3.9. An unfounded or fraudulent chargeback may result in temporary account restriction pending review and recovery of documented amounts due to the extent permitted by law. This does not restrict a good-faith consumer's right to dispute an unauthorised or improper charge.

4. PERFORMANCE AND COMPLETION OF SPECIFIC SERVICES

4.1. Digital Deposit: a one-time operation is deemed performed after the record/transaction required by the applicable tariff is successfully created and the User is provided with the record identifier, certificate or other confirmation. Request time, transaction submission time and confirmation time in an external network may differ.

4.2. Watermarking: an operation is deemed performed when processing is completed and the protected result is made available for download, transfer or further use. Subsequent third-party changes and future detectability after arbitrary transformations are not criteria for whether the watermarking operation itself was performed, unless a specific SLA expressly provides otherwise.

4.3. Detection: an operation is deemed performed when the submitted material has been analysed and a technical result has been returned. A negative or inconclusive result does not by itself mean that the Service was not performed where the analysis was completed correctly.

4.4. API: the Service is delivered by processing requests in accordance with documentation and tariff limits. Unit consumption rules are defined by the relevant endpoint/tariff. Where an erroneous charge caused by an internal failure is confirmed, the Service Provider may restore a unit/credit or make another appropriate billing correction.

4.5. Storage: the Service is provided during the paid period within the allocated capacity and technical characteristics. The User must maintain independent backups of critical data unless a separate SLA expressly includes an archival-retention commitment.

4.6. Crawler/Monitoring: the Service is performed by providing monitoring/checking functionality during the paid period. The absence of discovered matches does not mean the Service was not provided.

4.7. Protected Video/PDF: the Service consists of providing the relevant technical access, marking and analytics functionality within the tariff; absolute prevention of copying or extraction is not guaranteed.

4.8. If a confirmed Service Provider failure occurs before completion of a one-time operation, the Service Provider may retry processing, restore a credit/unit or refund the unperformed operation, taking into account the law, tariff and nature of the failure.

5. CONTENT, INTELLECTUAL PROPERTY, CONFIDENTIALITY AND DATA

5.1. The User retains rights in its Content and grants the Service Provider a limited, non-exclusive right to technically receive, temporarily store, transform, watermark, analyse and transmit Content only to the extent required to provide the selected Services and perform the contract.

5.2. The User represents that it has all rights, licences, consents and other legal bases necessary for the Content, personal data and identifiers it submits. The User must not deposit third-party material to falsely claim authorship, use watermarking to fabricate provenance, or create a false evidentiary chain.

5.3. Rights in Signaturum software, models, algorithms, interfaces, design, documentation, trademarks and other technology belong to the Service Provider or its licensors. Payment for Services does not transfer intellectual-property rights in Signaturum technology.

5.4. File handling depends on the Service: local hashing may not require transfer of the source file, while server-side watermarking/detection, API, Storage, Viewer and other functions may require transfer of the file or a necessary part to infrastructure. Details are governed by the Privacy Policy.

5.5. Customer Content is not used to train Signaturum's general models merely because it was uploaded. Customer-specific training/fine-tuning requires a separate contractual or other lawful basis.

5.6. The User should, wherever practicable, avoid placing names, emails, phone numbers, passport, payment, health or other sensitive personal data directly in a watermark ID or public blockchain record; a pseudonymous internal identifier is recommended for traceability.

5.7. Where a B2B User submits confidential Content without a separate NDA, the Service Provider applies confidentiality and security measures under the Privacy Policy and ordinary Service configuration; special requirements concerning secrecy level, processing geography, isolated environments, customer-managed keys, retention or audit must be expressly agreed in a separate enterprise arrangement.

5.8. A public blockchain/distributed ledger operates independently of the Service Provider. After confirmation, the Service Provider may be technically unable to delete or alter a public transaction; the User must consider this before initiating it.

5.9. Unless otherwise agreed in writing, User feedback and suggestions may be used to improve the product without compensation, provided this does not disclose the User's confidential information.

6. RIGHTS AND OBLIGATIONS OF THE PARTIES

6.1. The Service Provider shall: provide paid functionality within the applicable tariff; maintain reasonable organisational and technical security measures; account for confirmed payments and unit consumption; provide the applicable Result/access; review support requests; and comply with mandatory legal requirements applicable to its role.

6.2. The Service Provider may update models/software, apply rate limits, quotas, anti-fraud and security controls, perform maintenance, change third-party providers and temporarily restrict functionality where required by a security threat, abuse, legal risk or emergency remediation.

6.3. The User shall: provide accurate information; ensure Content is lawful; pay applicable charges; comply with documentation and limits; protect login/password/API keys/tokens/webhook secrets; not bypass billing/security; not create harmful or excessive load; and not use the Service to infringe rights, conduct unlawful surveillance, fabricate evidence or engage in prohibited conduct.

6.4. For recipient-specific watermarking, the User is responsible for accurately and securely maintaining the mapping “ID ↔ recipient/distribution event”. Reuse of IDs, incorrect mapping, loss or tampering with the User's internal table may cause incorrect attribution, for which the Service Provider is not responsible unless the error originated within the Service Provider's systems.

6.5. A B2B User is responsible for giving required notices to its employees, clients, viewers and recipients and for having the required legal bases for processing their personal data, viewing analytics, IP/geo data and recipient IDs.

6.6. The User must independently retain original files, contracts, correspondence, distribution history and other materials that may later be needed as evidence. Signaturum does not replace the User's records management or backups.

6.7. The Service Provider may suspend access for non-payment, chargeback, compromised accounts, breach of law/terms, infrastructure threats, binding authority requests or payment-provider requirements. Where a breach is curable and there is no urgent threat, the Service Provider may provide a reasonable cure opportunity.

7. QUALITY, TECHNICAL RISKS, EVIDENCE AND LIABILITY

7.1. Unless a tariff or SLA expressly sets a measurable commitment, the Service Provider does not guarantee universal accuracy, survival of a watermark after every transformation, zero false positives/false negatives, exhaustive crawler coverage, uninterrupted availability of every third-party service or suitability for every individual User purpose.

7.2. Benchmark results apply only to the stated model version, dataset, scenario and methodology and are not a promise of identical performance for every User file.

7.3. A recovered ID and related logs may help identify the distribution event associated with a copy but do not automatically prove who personally caused a leak: a file may have been forwarded, a device compromised, credentials stolen or access obtained by other means. The User must consider context and additional evidence before making an allegation.

7.4. To the maximum extent permitted by law, the Service Provider is not liable for indirect, incidental, special, punitive or consequential loss, lost profit, reputation, expected savings, business opportunity or third-party claims unless mandatory law provides otherwise.

7.5. For Users acting for business/professional purposes, the Service Provider's aggregate contractual liability for a particular claim is limited to the greater of the price of the specific Service giving rise to the claim or the payments for the relevant Service during the 6 months preceding the event. The limitation does not apply where liability cannot lawfully be limited.

7.6. Consumer liability is governed by mandatory consumer law; no liability cap in this Offer applies to the extent it would reduce non-waivable consumer rights.

7.7. To the extent permitted by law, a B2B User shall indemnify the Service Provider against documented losses and third-party claims arising from unlawful Content, absence of required rights/consents, unlawful data processing, false attribution, misuse of the Service or material breach of the contract.

7.8. The Service Provider is not responsible for acts or outages of public blockchains, RPC providers, clouds, CDN, DNS, telecom operators, app stores, payment systems, banks, hosting providers, social networks, search engines or other independent third parties outside its reasonable control.

7.9. Nothing in this Offer excludes liability for intentional misconduct where exclusion is prohibited, or any other liability that cannot lawfully be excluded or limited.

8. TERM, CANCELLATION, REFUNDS, UNUSED UNITS AND CHARGEBACKS

8.1. A contract for a one-time Service remains in force until the relevant order is performed; a Subscription contract remains in force for the paid period and each subsequent renewed period until cancelled. An account may continue to exist without an active Subscription.

8.2. The User may stop using the Services at any time. Stopping use does not by itself create an automatic refund for already performed one-time operations, consumed units/credits, confirmed blockchain transactions or an elapsed portion of a Subscription period, except where a refund is required by law, tariff or a confirmed defect/failure to perform.

8.3. Consumers: any mandatory right to withdraw from a distance contract, digital service or digital content arrangement, and any statutory remedy for defective Services, remains fully applicable. If applicable law permits immediate performance before a withdrawal period expires and allows the refund to be reduced or the withdrawal right to be lost after full performance only with express consent, such consent must be obtained through checkout or another legally valid mechanism.

8.4. Nothing in this Offer creates an artificial deadline that extinguishes a consumer remedy earlier than mandatory law permits.

8.5. B2B: unless an Order Form/SLA provides otherwise, fully performed one-time Services and actually consumed units/credits are non-refundable. For an unperformed portion, the Service Provider may issue a refund, equivalent credits or, by agreement, carry them to another period. Unused promotional/free credits have no cash value.

8.6. When a Subscription is cancelled, future recurring charges stop after cancellation is correctly registered. Access normally continues until the end of the paid period unless the tariff states otherwise or termination results from material breach, fraud/security risk or a binding legal requirement.

8.7. A refund request must be submitted through the available interface or to support@signaturum.com with sufficient order information to identify the payment. The Service Provider may request reasonable identity/authority verification and information needed to review the request.

8.8. Refunds are made to the original payment method where technically and legally possible, or by another agreed method. The time of refund initiation and actual bank posting differ; mandatory statutory deadlines and payment-infrastructure rules apply.

8.9. Account suspension for breach does not remove a good-faith consumer's mandatory refund/remedy rights. In B2B cases, the Service Provider may set off documented amounts due/damages to the extent permitted by law.

9. CHANGES, FORCE MAJEURE, NOTICES, GOVERNING LAW AND DISPUTES

9.1. The Service Provider may amend this Offer prospectively to reflect product development, law, taxes, infrastructure, payment methods or business model. A new version is published with an effective date. Material changes do not retroactively worsen the terms of a fully paid one-time Service. Active Subscriptions are subject to any mandatory notice requirements.

9.2. The Service Provider may change or discontinue free/experimental features. If a material paid feature is discontinued before the end of an already paid period without a functionally comparable replacement, treatment of the unperformed portion is determined under law and the applicable tariff.

9.3. A party is excused from non-performance caused by circumstances beyond reasonable control, including natural disasters, war, civil disorder, acts of authorities, sanctions/export restrictions, communications/power outages, major DDoS/cyberattacks, data-centre failures, widespread cloud/public-network failures and other force-majeure events to the extent they directly prevent performance. Lack of funds alone is not force majeure.

9.4. Affected parties should, where reasonably possible, notify the other party and take reasonable steps to mitigate consequences. Force majeure does not cancel payment for Services already performed or mandatory consumer rights.

9.5. Legally significant notices may be sent to the account email, through the account area or to contacts stated in the order. The User is responsible for keeping email details current.

9.6. Before court proceedings, the parties should attempt to resolve disputes through a written claim to support@signaturum.com unless a different mandatory process applies.

9.7. Contracts with DigitalTown LLP are governed by the laws of the Republic of Kazakhstan. For B2B, contractual jurisdiction is at the Service Provider's location unless the parties agree otherwise in writing and such agreement is legally permitted. Consumers retain mandatory jurisdiction and other non-waivable rights under applicable law.

9.8. Invalidity of one provision does not invalidate the remainder. The Service Provider may assign the contract to a successor in a reorganisation or sale of the relevant business subject to law; the User may not assign the account/contract without consent unless law provides otherwise.
